Terms of Service

1. Acceptance of Terms

By creating an account and using HeadsUp ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("you," "User," or "Household Admin") and the operator of HeadsUp ("we," "us," or "our").

2. Description of Service

HeadsUp is a family scheduling assistant that:

• Connects to your family members' Google Calendars
• Generates AI-powered daily and weekly briefings summarizing upcoming events
• Detects scheduling conflicts and sends alerts
• Delivers briefings and alerts to a designated Telegram group
• Optionally integrates with Oura Ring for health and readiness data
• Optionally includes weather forecasts in briefings

The Service is delivered as a subscription-based software-as-a-service (SaaS) product.

3. Eligibility

You must be at least 18 years old to create an account. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into these Terms.

If you add family members' calendars or data to the Service, you represent that you have obtained their consent to do so.

4. Accounts and Registration

4.1 Account Creation

You must register with a valid email address and a password of at least 8 characters. You are responsible for all activity that occurs under your account.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account. Notify us immediately of any unauthorized access.

4.3 One Household Per Account

Each account represents one household. You may add multiple family members within that household.

5. Subscriptions and Billing

5.1 Subscription Fee

Use of the Service requires a paid subscription at the rate of $5.00 USD per month (or as otherwise displayed at checkout). Pricing may change with 30 days' written notice.

5.2 Billing

Billing is handled through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

5.3 Activation

Access to core features requires an active, paid subscription. Accounts in an inactive, past-due, or canceled billing state will have Service features suspended.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial months.

5.5 Failed Payments

If a payment fails, your account will be placed in a past_due state. We will attempt to collect payment before suspending access.

6. Third-Party Integrations

The Service connects to third-party platforms on your behalf. Your use of those integrations is subject to each platform's own terms:

By connecting any of these services, you grant HeadsUp permission to access them on your behalf using the credentials or tokens you provide.

6.1 Google Calendar Access

When you connect Google Calendar, you grant HeadsUp read access to the calendars you configure. We poll your calendars approximately every 5 minutes to keep briefings current. You may revoke this access at any time through your Google account settings or by disconnecting in the HeadsUp app.

6.2 AI-Generated Content

Briefings are generated using the Anthropic Claude API. AI-generated content may occasionally be inaccurate. Do not rely solely on HeadsUp briefings for time-sensitive or safety-critical decisions.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Add family members' calendars or personal data without their knowledge and consent
• Attempt to reverse engineer, scrape, or interfere with the Service
• Circumvent subscription or billing systems
• Share your account credentials with people outside your household
• Use the Service to harass, stalk, or monitor individuals without their consent

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Intellectual Property

All software, design, and content comprising the Service is owned by or licensed to us. These Terms do not grant you any rights to our intellectual property. You retain ownership of your personal data; you grant us a limited license to process it solely to deliver the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that briefings will be accurate or complete.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service, even if advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice. Upon termination, your data will be retained for 30 days before deletion, after which it cannot be recovered.

You may delete your account at any time through your account settings.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
